Service summary
By creating an account or otherwise using Byterix Secure, you agree to these terms. If you use the service on behalf of an organisation, you confirm that you have authority to bind that organisation.
Eligibility
You must be at least 16 years old, or the age of digital consent in your country if that age is higher, to use the service. By using the service you confirm that you meet this requirement and that you are able to enter into a binding agreement under the laws that apply to you.
You may not use the service if you are barred from doing so under any applicable law, including export control or sanctions laws.
Accounts and security
To use most features you need to create an account. You agree to provide accurate information and to keep it up to date. You are responsible for all activity that occurs under your account.
You are responsible for keeping your login credentials, recovery codes, and encryption keys confidential and secure. Notify us promptly if you believe your account has been accessed without your authorisation. We are not liable for any loss arising from unauthorised use of your account where that use did not result from our failure to meet our obligations.
Licence to use the service
Subject to these terms, we grant you a limited, non exclusive, non transferable, and revocable licence to access and use the service for your personal or internal business purposes. This licence does not transfer any ownership in the service to you.
You agree not to copy, modify, reverse engineer, resell, sublicense, commercially exploit the service, or remove proprietary notices except where permitted by law or by our written consent.
Subscriptions and payments
The service offers free and paid plans. Paid plans are billed in advance on a recurring basis, either monthly or annually, depending on the plan you select. The price, billing cycle, and features of each plan are shown at the point of purchase.
Unless stated otherwise, subscriptions renew automatically at the end of each billing period at the then current price. You can cancel renewal at any time through your account settings or through the app store where you purchased the plan. Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then.
Where you purchase a subscription through a third party app store, that store handles billing, renewals, and refunds under its own terms, and those terms apply in addition to these terms.
Prices may change. We will give you reasonable notice of any price change before it takes effect, and the new price will apply from your next billing period. Except where required by law or stated in these terms, payments are non refundable and we do not provide refunds or credits for partial periods.
Trials and promotional offers
We may offer free trials or other promotional access from time to time. Unless stated otherwise, a trial converts to a paid subscription at the end of the trial period unless you cancel before it ends. We may modify or withdraw trials and promotional offers at any time.
Acceptable use
You agree not to use the service to break any applicable law, infringe the rights of others, store or distribute unlawful content, upload harmful code, interfere with service integrity, gain unauthorised access, place unreasonable load on infrastructure, circumvent security measures, send unsolicited messages, or harass others.
We may investigate suspected breaches of this section and cooperate with law enforcement where appropriate.
Your content and data
The service lets you store files, messages, and other material, which we refer to as your content. You retain all rights in your content. We do not claim ownership of it.
You grant us a limited licence to host, store, transmit, and process your content only to the extent needed to operate and provide the service to you, for example to sync data across your devices and to deliver the features you use. This licence ends when your content is deleted from the service, subject to reasonable backup retention periods.
You are solely responsible for your content and for ensuring that you have the rights needed to store and use it through the service. You are responsible for maintaining your own copies of important content.
Encryption and data recovery
The service is designed to protect your content using strong encryption. Depending on the features you use, your content may be encrypted in a way that means we cannot read it and cannot access it on your behalf.
Because of this design, your encryption keys and recovery information are essential. If you lose your keys, your password, and your recovery information, we may be unable to help you recover your content, and that content may be permanently lost. You are responsible for safely storing your recovery information.
We take reasonable measures to protect the service, but no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these terms. By using the service you agree to the collection and use of information as set out in that policy.
Intellectual property
The service, including its software, design, text, graphics, and trademarks, is owned by Byterix Labs or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you in these terms, we reserve all rights in the service.
If you send us feedback or suggestions, including through the Byterix Secure roadmap and feedback board, you agree that we may use them without restriction and without any obligation to you.
Third party services
The service may rely on or link to services provided by third parties, such as authentication providers, payment processors, app stores, and the public feedback board at byterixsecure.userjot.com. Those services are governed by their own terms and privacy policies, and we are not responsible for them. Your use of a third party service is at your own risk.
Availability and changes
We aim to keep the service available and reliable, but we provide it on an ongoing basis without any guarantee of uninterrupted availability. We may add, change, or remove features, and we may carry out maintenance that temporarily affects access.
We may discontinue the service or any part of it. Where we discontinue a paid feature that you are actively paying for, we will give you reasonable notice and, where appropriate, a refund for any prepaid amount that covers the period after the feature is withdrawn.
Suspension and termination
You may stop using the service at any time and may close your account through your account settings.
We may suspend or terminate your access if you breach these terms, if your use poses a risk to the service or to other users, or if we are required to do so by law. Where it is reasonable to do so, we will give you notice and an opportunity to correct the issue.
When your account is closed or terminated, your right to use the service ends, and we may delete your content after a reasonable period, subject to any legal retention obligations. Sections of these terms that by their nature should survive termination will continue to apply.
Disclaimers
To the maximum extent permitted by law, the service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the service will be error free, secure, or uninterrupted, or that any content will be preserved without loss.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions in this section apply only to the extent permitted by law, and you may have rights that these terms cannot limit.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the service.
To the maximum extent permitted by law, our total liability for all claims relating to the service in any twelve month period will not exceed the greater of the amount you paid us for the service during that period, or fifty United States dollars.
Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
Indemnification
You agree to indemnify and hold harmless Byterix Labs and its officers, employees, and agents from any claims, damages, and reasonable expenses, including legal fees, that arise from your misuse of the service, your content, or your breach of these terms, except to the extent the claim results from our own wrongdoing.
Governing law and disputes
These terms and any dispute arising out of them or the service are governed by the laws of the jurisdiction stated in our published legal notices, without regard to conflict of law rules. The courts of that jurisdiction will have exclusive authority over any dispute, unless mandatory local law gives you the right to bring proceedings elsewhere.
Before starting formal proceedings, you agree to contact us first so that we can try to resolve the matter informally. Nothing in this section affects any rights you have as a consumer that cannot be waived by agreement.
Changes to these terms
We may update these terms from time to time. If we make a material change, we will give you reasonable notice, for example by posting the updated terms with a new effective date or by notifying you within the service. Your continued use of the service after the change takes effect means you accept the updated terms. If you do not agree, you should stop using the service.
General terms
Entire agreement
These terms, together with the Privacy Policy and any plan specific terms, make up the entire agreement between you and us regarding the service, and replace any earlier agreements on the same subject.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will stay in full effect, and the unenforceable provision will be applied to the extent permitted by law.
No waiver
If we do not enforce a provision of these terms, that does not waive our right to enforce it later.
Assignment
You may not transfer your rights or obligations under these terms without our consent. We may assign these terms in connection with a merger, acquisition, or sale of assets, provided your rights are not reduced.
Force majeure
We are not responsible for any failure or delay caused by events beyond our reasonable control, including natural events, network or power failures, and acts of government.
